Introduction
Antony Alldis is the sole proprietor of Virtutek. By engaging the services of Virtutek in commissioning photography or associated services (the Work), the customer requesting the Work (the Client) agrees to the following terms and conditions:
360º Virtual Tour Design
360º Virtual Tours may be processed by external companies outside of Virtutek, using panoramic pictures taken and supplied by Virtutek. The Client may request floor plans, or other such content to be added to the 360º Virtual Tour, and it is the responsibility of the Client to warrant the accuracy of the design proposal. To avoid any ambiguity it will be necessary for a project form (or approved alternative documentation) to be completed by the Client.
Virtual Videos
Virtual Videos are created using photography, video, text, and audio content that is either supplied to Virtutek, or will be supplied by Virtutek. If media is being supplied for the Virtual Video by the Client, it must be non-copyrighted; unless the Client owns the full copyright to that media. Virtual Videos may be published via external entities such as YouTube.com, to enable ease of embedding into websites, and to retain high quality content. If the Client does not wish their Virtual Video to be published in this manner, then this must be specified at the time of purchase, and they must express their preferred delivery mechanism. When using FLASH or QuickTime versions of Virtual Videos, the Client must use an appropriate media player embedded into their web page. Virtutek do not supply media players for this purpose, but are happy to assist in recommending suitable products, and code examples to embed the videos.
Location Availability
In order for Virtutek to produce the required services, accessibility to the subject location will normally be required for approximately 1-2 hours. It is the responsibility of the Client to facilitate the availability of, and permitted entry to, the location for the duration of this process. It is also the responsibility of the Client to ensure that the location is in a suitable condition for photographing. Any third-party personal information details provided to Virtutek in order to accomplish the assignment will be handled in compliance with the Data Protection Act 1998.
Appointment Cancellations
Cancellation of a prior appointment by either party must be made within an acceptable timescale. If, on arrival at an agreed appointment, the site cannot be accessed and/or preparation of the tour cannot be continued, Virtutek reserves the right to make a charge for reasonable travelling, time and other out-of-pocket expenses. In the unlikely event that Virtutek fails to keep an agreed commitment, a revised date will be set and Virtutek will either undertake the tour and charge a reduced fee, or, at the discretion of the Client, the commission will be cancelled.
Delivery of Commissioned Work
Virtutek will use their best endeavours to process the work to a consistently high standard, and to deliver the completed Work within 72 hours of attendance at the location, in an appropriate format; internet download, CD/DVD, or e-mail, for subsequent use. Any delays to the estimated delivery time, will be notified to the Client at the earliest possible time.
Please Note: Virtutek are not responsible for installing the completed Work on the Client's website or other computing facilities. It is the responsibility of the Client to ensure that the Work is completed to the agreed specification and to an acceptable standard. In the event of any accepted dispute regarding the quality of the supplied work, Virtutek will either refund any prior payments made, or re-do the Work free of charge.
Travel Expenses
From time-to-time, it may be necessary to pass on expenses to the Client, due to travelling costs etc... Any such expenses will be discussed with the Client prior to the commission, and will appear on any quotation/estimate sent to the Client. Please check our Prices page for information concerning individual prices for expenses.
If travelling by car, any distance within a 10 mile radius of the UB6 8XA post-code area will be FREE. Travel outside of this area will be charged at a per mile rate, and the first and last 10 miles of a return journey, will be provided FREE of charge.
If travelling by train, the total cost of the ticket will be charged back to the Client.
If travelling by air, the total cost of the ticket will be charged back to the Client.
For train and air travel, Virtutek will always travel "economy/standard class", and will attempt to seek the best available price for the ticket.
Accommodation
For UK and European based commissions, if it is necessary for us to stay overnight at a location either due to a commission lasting longer than one day, or due to the travelling distance, then 100% of the cost will be charged back to the Client.
Virtutek will always seek out the most economic accommodation available to keep charges at a minimum.
European Travel Surcharge
A travel surchage will be charged to the Client at a per day rate, if we are travelling outseide of the UK to other European countries, to cover living expenses whilst abroad.
Travel Time Charges
Virtutek do not charge for travel time to get to/from a commission location.
Ownership Rights & Copyright
Although the completed Work will be provided to the Client immediately after processing, the Work remains the property of Virtutek until payment has been received in full.
All intellectual property and copyright within the completed Work remains under the exclusive ownership of Virtutek / Antony Alldis, and may be used by the copyright owner for other purposes (e.g. any photography produced may be used as "stock photography").
Delivered 360º Virtual Tours must not be used in conjunction with any other Virtual Tour software.
All photography, videos, virtual tours, and other Work produced by Virtutek is Copyrighted © Virtutek / Antony Alldis, and may not be used for any purpose other than supplied, without written permission from the Copyright owner.
If the Client wishes to own the copyright of any such material that we produce for them, it is possible to purchase the material outright for a “copyright fee”. Please contact us for more information concerning copyright purchase.
Pricing & Payment
Each piece of Work, by its nature, is individually produced and Virtutek will provide a quotation for commissions on request, which will be valid for 30 days.
Personal (non-Business-to-Business) clients; are required to pay at the time of their photographic session, or the commencement of any work.
Business clients; unless agreed otherwise in writing, payment for the completed commission is due immediately after delivery on receipt of the invoice, and must be received within 30 days of the invoice date.
Price Changes
All pricing is subject to change. If Virtutek has provided a quotation (valid for 30 days), and has increased the pricing during that 30 day period, the Client will be charged at the originally quoted price. If pricing has decreased during this period, or is subject to any promotional discounts, Virtutek will invoice at the new lower rate.
Late Payment
If the Client fails to settle the account within 30 days of the invoice date - without having agreed otherwise in writing - Virtutek reserve the right to administer an interest/late payment charge of 10% per month on outstanding monies owed, and will re-invoice accordingly. If payment has not been received within 90 days of the original invoice date; Virtutek will seek legal recourse to obtain all monies owed. There will be no exceptions!
Limit of Liability
Virtutek will accept no responsibility or liability for loss of profits, business or revenue; consequential or incidental loss; loss of goodwill and the damage caused by the loss and destruction of data, that may be attributed to any product or service that has been supplied by Virtutek.
Changes to Terms & Conditions
Virtutek will occasionally update these Terms & Conditions to reflect our products, services, and practises. Virtutek encourages you to periodically review our Terms & Conditions to keep informed of any such updates and changes.
